Terms and Conditions

Welcome to SapyFlow. These Terms and Conditions govern your access to and use of the SapyFlow platform. By accessing or using SapyFlow, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not use the platform.

1. Acceptance of Terms

By accessing, registering for, or using SapyFlow, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and any related policies referenced herein.

If you do not agree with these Terms, you must immediately discontinue use of the platform.

2. Description of Service

SapyFlow provides a cloud-based school management platform designed to assist educational institutions in managing administrative and academic operations.

The platform may include features such as:

  • Student information management
  • Attendance tracking
  • Examination and grading systems
  • Fee management and payment tracking
  • Communication between school staff, students, and parents
  • Administrative and operational tools for schools

SapyFlow may update, modify, add, or remove features at any time in order to improve or maintain the service.

3. User Accounts

To access certain features of SapyFlow, schools and authorized users must create an account.

By creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your login credentials
  • Be responsible for all activities that occur under your account

You are responsible for ensuring that your account credentials are kept secure. SapyFlow is not liable for any loss or damage resulting from unauthorized access caused by failure to protect account credentials.

4. Subscription and Payments

Access to certain features of SapyFlow may require a paid subscription.

Subscription terms include:

  • Pricing may vary depending on the selected plan or the number of students managed on the platform.
  • Subscriptions are billed every three (3) months (quarterly) unless otherwise specified in a custom agreement.
  • All fees are non-refundable once the subscription period begins, except where required by applicable law.
  • The SapyFlow platform is licensed for use by a single educational institution per account, unless explicitly authorized by SapyFlow.

Account Usage Restrictions (Multi-School Abuse):

Schools may not:

  • Share a single account across multiple schools or campuses
  • Provide access to external institutions not covered under their subscription

If such activity is detected, SapyFlow reserves the right to:

  • Require the purchase of additional subscriptions
  • Limit account functionality
  • Suspend or terminate the account

Student Limit Enforcement:

Certain subscription plans may include limits based on the number of students managed on the platform.

Schools agree that:

  • They will not intentionally exceed the allowed student limit for their plan
  • Additional students may require upgrading the subscription plan or paying additional fees

SapyFlow reserves the right to:

  • Restrict access to features
  • Request subscription upgrades
  • Temporarily suspend services until compliance is achieved

Payment Disputes and Chargebacks:

Users agree not to initiate unjustified payment disputes or chargebacks for services that have already been delivered.

If a chargeback or payment dispute is initiated without valid reason:

  • SapyFlow reserves the right to immediately suspend access to the platform
  • The account may remain suspended until the dispute is resolved
  • Any associated fees or administrative costs may be charged to the user

Repeated payment disputes may result in permanent account termination.

Failure to Pay:

Failure to pay applicable subscription fees may result in temporary suspension or termination of access to the platform until payment is completed.

Data Export Upon Termination:

Upon termination or cancellation of an account, schools may request access to export their data.

  • Data export requests must be made within 30 days of account termination.
  • After this period, SapyFlow reserves the right to permanently delete stored data from its systems.

5. Data Ownership

Schools retain full ownership of the data they upload or manage on SapyFlow, including but not limited to:

  • Student records
  • Academic information
  • Attendance records
  • Financial and payment information

By using the platform, schools grant SapyFlow permission to store, process, and transmit this data solely for the purpose of providing and maintaining the service.

Schools are responsible for ensuring that they have the appropriate rights and permissions to upload and manage such data on the platform.

6. Acceptable Use

Users agree not to misuse the platform.

Prohibited activities include, but are not limited to:

  • Uploading unlawful or harmful content
  • Attempting to gain unauthorized access to the platform or other users’ data
  • Attempting to disrupt or damage the system
  • Reverse engineering or attempting to copy the platform
  • Using the platform for purposes unrelated to legitimate school operations

Violation of these rules may result in suspension or permanent termination of access.

7. Service Availability

SapyFlow strives to provide reliable service and high platform availability. However, the platform may occasionally experience interruptions due to:

  • System maintenance
  • Software updates
  • Technical issues
  • Infrastructure failures

SapyFlow does not guarantee uninterrupted or error-free operation of the service.

8. Data Security

SapyFlow implements reasonable technical and organizational measures to protect user data.

While we strive to safeguard all data stored within the platform, users acknowledge that no system can guarantee absolute security and that use of the service involves inherent risks associated with internet-based systems.

9. Intellectual Property

All software, technology, branding, design elements, and platform features associated with SapyFlow are the intellectual property of SapyFlow.

Users may not:

  • Copy
  • Modify
  • Redistribute
  • Resell
  • Reverse engineer

any part of the platform without prior written permission from SapyFlow.

10. Limitation of Liability

To the maximum extent permitted by law, SapyFlow shall not be liable for any indirect, incidental, or consequential damages arising from the use of the platform.

This includes, but is not limited to:

  • Loss of data
  • Financial losses
  • Academic or administrative errors resulting from incorrect data input
  • Service interruptions or downtime

In any event, SapyFlow’s total liability shall not exceed the total amount paid by the customer to SapyFlow during the twelve (12) months preceding the claim.

11. Termination

SapyFlow reserves the right to suspend or terminate accounts if users:

  • Violate these Terms and Conditions
  • Fail to pay subscription fees
  • Engage in misuse or abuse of the platform

Users may also terminate their accounts at any time by discontinuing use of the service.

Termination may result in loss of access to stored data unless otherwise required by law.

12. Changes to Terms

SapyFlow reserves the right to update or modify these Terms and Conditions at any time.

Updated versions will be posted on the SapyFlow website, and continued use of the platform after such updates constitutes acceptance of the revised Terms.

13. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Nepal.

Any disputes arising from or relating to the use of SapyFlow shall be subject to the jurisdiction of the courts located in Nepal.
